Agreement to Terms

By accessing or using the website at podigy.co or engaging Podigy's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our site or services. These terms apply to all visitors, clients, and others who access or use our services.

Description of Services

Podigy provides B2B podcast production services including but not limited to: podcast strategy and planning, audio and video production, content repurposing, YouTube and SEO optimization, and analytics and growth consulting. The specific scope of services for each client is defined in individual service agreements.

Use of Services

You agree to use our services only for lawful purposes and in a manner that does not:

• Violate any applicable federal, state, or local laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit harmful, offensive, or otherwise objectionable content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services

Client Responsibilities

As a client, you are responsible for:

• Providing accurate and complete information necessary for service delivery
• Ensuring all content you provide (interviews, scripts, assets) does not infringe third-party rights
• Obtaining necessary permissions and releases for guests, music, and other third-party content
• Timely review and approval of deliverables within agreed timelines
• Payment of fees as outlined in your service agreement

Intellectual Property

Your Content

You retain ownership of all content you provide to Podigy (interviews, brand assets, original materials). By engaging our services, you grant Podigy a limited license to use your content solely for delivering the agreed services.

Deliverables

Upon full payment, Podigy assigns to you all rights in the deliverables created specifically for you. Podigy retains ownership of general methodologies, templates, tools, and processes used in delivering services.

Podigy Materials

All content on the Podigy website — including text, graphics, logos, and software — is the exclusive property of Podigy and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Payment Terms

Payment terms, amounts, and schedules are defined in individual service agreements. All fees are due as specified in your agreement. We reserve the right to suspend services for accounts with outstanding balances. Fees are non-refundable except as expressly stated in your service agreement.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in connection with the services. This includes business strategies, client lists, financial information, and any materials marked as confidential. This obligation survives termination of the service relationship.

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. Podigy makes no warranties, express or implied, regarding the services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business outcomes, listener numbers, or revenue results, as these depend on many factors beyond our control.

Limitation of Liability

To the maximum extent permitted by applicable law, Podigy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the three months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Podigy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, and expenses arising from your violation of these Terms or your use of our services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the revised Terms.
